Terms of Service

You must be at least 13 years old (or 16 in the EEA) to use the Service. By using the Service, you represent that you meet this requirement. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at legal@sellwithcove.com if you suspect unauthorized access to your account.

You may not share your account with others or create accounts to circumvent any restrictions we impose.

Cove provides tools to help you:

• Build a digital inventory of your clothing and accessories using receipt data from your Gmail account
• Estimate the resale value of your items based on current market data
• List and delist items on third-party marketplaces including eBay, Poshmark, and Depop on your behalf

We do not guarantee the accuracy of resale estimates, listing success, or sale prices. Market conditions are outside our control.

Your responsibility. By connecting your eBay, Poshmark, or Depop account, you authorize us to take actions on those platforms on your behalf, including creating listings and delisting items. You remain solely responsible for complying with the terms of service of each marketplace you connect.

No guarantee. We do not guarantee that any listing we create will result in a sale, remain live, or comply with the marketplace's current policies (which can change without notice). We are not a party to any transaction between you and a buyer on a third-party marketplace.

Browser automation. Our Poshmark and Depop integrations may use server-side browser automation with your encrypted stored session. Marketplace terms may restrict automated activity. By connecting these marketplaces, you acknowledge this risk and accept responsibility for any action a marketplace may take against your account, including listing removal or suspension.

eBay API. Our eBay integration uses the official eBay REST API under eBay's developer program terms. You must comply with eBay's User Agreement and Seller Policies at all times.

Disconnecting. You can disconnect marketplaces from Profile. Disconnecting removes Cove's stored credential or session for that marketplace, but it does not remove listings already created on the marketplace unless you separately delist them.

By connecting Gmail, you grant us read-only access to your Gmail account, scoped to finding purchase receipt emails. You can revoke this access at any time via your Google Account settings. We handle your Gmail data in accordance with our Privacy Policy and the Google API Services User Data Policy.

Cove uses AI to analyze photos, parse receipt data, generate item details, and estimate resale value. AI output can be incomplete or inaccurate. You are responsible for reviewing item details, descriptions, pricing, condition, authenticity, and marketplace compliance before listing.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation
• List counterfeit, stolen, or prohibited items on any marketplace through Cove
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Scrape, reverse engineer, or use automated tools to access the Service beyond its intended use
• Upload content that is fraudulent, misleading, defamatory, or that infringes on any third party's intellectual property rights
• Interfere with or disrupt the integrity or performance of the Service

Our IP. The Service, including its design, code, text, logos, and features, is owned by Cove and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written permission.

Your content. You retain ownership of all content you submit to the Service (photos, item descriptions, etc.). By submitting content, you grant us a limited, non-exclusive license to use, store, and process that content solely to provide the Service to you.

The Service is currently provided free of charge. We reserve the right to introduce paid features or subscription plans in the future. We will provide reasonable advance notice before charging any fees. You will always have the option to stop using the Service if you do not agree to new fees.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT (A) THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE; (B) RESALE VALUE ESTIMATES WILL BE ACCURATE; (C) MARKETPLACE LISTINGS WILL BE SUCCESSFUL OR REMAIN LIVE; OR (D) ANY DEFECTS WILL BE CORRECTED.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COVE, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL — ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $50 USD.

You agree to defend, indemnify, and hold harmless Cove and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third party's rights; or (d) any content you submit through the Service.

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. Sections 8, 10, 11, 12, and 14 survive termination.

You may delete your account at any time from Profile or by contacting legal@sellwithcove.com.

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-law principles.

Any dispute arising from or relating to these Terms or the Service shall first be submitted to non-binding mediation. If mediation is unsuccessful, disputes shall be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules. You waive any right to bring claims as a class action or representative action.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.

We may update these Terms from time to time. Material changes will be communicated via email or a notice on the Service at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Cove regarding the Service. If any provision is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right is not a waiver of that right.
